Bylaws

Article I

NAME AND PURPOSE

Section I. The name of this Association shall be the Missouri Taxidermist Association, herein after referred to

as the Association or the MTA.

Section II. The Purposes of the MTA are to promote the art of taxidermy and related fields, including but not limited

to the fur industry. These will include:

A. To promote high standards in the art of taxidermy, and to strive to provide high quality work.

B. To foster understanding in the general public about the field of taxidermy and other related outdoor sports industries.

C. To assist members of the MTA and the general public in their understanding of the Federal and State Fish and Game Laws.

D. It will be the object of the MTA to assist, in any way possible, the conservation of all our natural resources for future generations.

E. To accept funds as shall be necessary to carry out the purpose of the MTA.

F. To engage in such other civic, charitable, educational, and business activities that the MTA shall deem appropriate.

Article II

MEMBERS

Section I. A member shall be defined as a person who is a Taxidermist, or one who in engaged in a related field, and

has paid the annual membership dues.

Section II. All members are encouraged to obtain the applicable permits and/or licenses for the taxidermy and

related fields from the appropriate State and Federal and Local authorities.

Section III. Each member shall have the right to one (1) vote on all matters affecting the operation of the MTA;

which shall be properly presented for their consideration at duly constituted meetings of the MTA.

Article III

OFFICERS

Section I. The principle officers of the Association shall consist of the President, Vice-President and

Secretary/Treasurer, and such additional officers as the MTA may from time to time deem desirable.

Section II. The officers of the MTA shall be elected for a term of two (2) years at the annual convention. Newly

elected officers will assume their duties at the following December meeting. In the interim they will serve on the

board of directors in order to become familiar with their new responsibilities. No two (2) offices may be held by the

same person at the same time.

Section III. The President shall be the chief executive of the MTA. He/She shall preside at all MTA meetings and

shall perform such other duties as may be specified from time to time by the membership.

Section IV. The Vice-President shall assume the duties of the presidency in the absence of the President and shall

perform such other duties as may be specified from time to time by the President or the Membership.

Section V. The Secretary/Treasurer shall have custody of the funds of the Association. He/She shall keep accurate

records of all receipts and disbursements of the MTA in financial books to be maintained for that purpose. He/She

shall disburse the funds of the MTA, take proper vouchers; therefore, and render to the MTA such reports as they shall

prescribe. The Secretary/Treasurer shall be bonded to the faithful performance of his/her duties. The

Secretary/Treasurer shall, at least once a year, and whenever requested by the Association, render a full

detailed account of all receipts and expenditures and submit a schedule showing the financial status of the MTA and

changes, if any, since the last report. The Secretary/Treasurer shall have custody of all other property

and records of the MTA except as specified. He/She shall take accurate minutes of all meetings of the Board of

Directors, as well as membership meetings. The Secretary/Treasures shall give notice of each meting of the

members to which notice is required. The Secretary/Treasurer shall perform such other duties as may

be specified from time to time by the Association.

Section VI. Any Officer of the Association may be removed at any time by a vote of two-thirds (2/3) of the membership

at a regularly called meeting.

Article IV

DIRECTORS

Section I. The Board of Directors shall consist of three (3) officers, immediate past president of the Association,

and two (2) Association members elected for a term of two (2) years.

Section II. The incumbent President shall automatically become a member of the Board of Directors until such time as

his successor steps down and takes his place as Past-President.

Section III. The property, business, and affairs of the MTA shall be under the direction and control of the Board of

Directors.

Section IV. A member of the Board of Directors may be removed from office by a vote of two thirds (2/3) of the

membership present at a called meeting for any act or failure to act in the interests of the MTA.

Section V. Any Director may resign his/her directorship at any time by giving written notice thereof to the

Secretary/Treasurer and President. The resignation shall become effective upon the date specified therein; if no date

is specified, upon receipt thereof by the Secretary/Treasurer.

Article V

MEETINGS

Section I. The regular membership meetings of the MTA shall be held up to four (4) times per year.

Section II. The competition meeting shall be a exhibition-competition meeting for the members of the MTA.

The exhibition portion of this meeting shall be open to the public.

A. Any Taxidermist, MTA member or not, who has falsified any competition application, entered a piece in competition

under his/her name not of his/her own work, or in any way cheated in any Taxidermy competition; shall be prohibited

from competing in any Missouri Taxidermist Association Competition until such time as the Board of Directors deems

it appropriate to allow them to compete.

Section III. Special meetings may be called at any time that the Board of Directors sees fit to do so. The

membership shall be notified at least fourteen (14) days prior to the date of the meeting. The notice shall specify

the date, place, and hour of the meeting and the purpose(s) for which it is to convene.

Section IV. Any action required to be taken at a meeting of the members or Directors may be taken without a meeting

if a written consent, stating the action so taken, shall be signed by all members or Directors as the case may be, who

are entitled to vote with respect thereto. Verification of consent may be made via telephone or in person to the

Secretary/Treasurer.

Section V. For the purpose of conducting business at a meeting, a quorum shall be the attendance of a majority of

the full Board of Directors at a called meeting.

Article VI

FISCAL YEAR

Section I. The fiscal year of the MTA shall be from the first say of January through the last day of December.

Article VII

DISSOLUTION

Section I. Upon the dissolution of the MTA, the Board of Directors shall, after paying or making provisions for the

payment of all of the liabilities of the Association, dispose of all of the assets of the Association exclusively

for the purpose of the Association in such manner, or to such organization or organization organized and operated

exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an

exempt organization or organizations under sections 501(C) (3) of the Internal Revenue Code of 1954 ( or the

corresponding provision of any future United States Internal Revenue Law), as the Board of Directors Determine.

Section II. Any such assets not so disposed of shall be disposed of by the Circuit Court of the county in which the

principal office of the Association is then located, exclusively for such purposes or to such organization or

organizations, as the Court shall determine, which are organized and operated exclusively for such purposes.

Article VIII

AMENDMENTS

Section I. These bylaws shall be amended by a majority vote of the members present at a regularly called meeting.
